Terms of Use & Conditions
These Terms of Use govern your access to and use of the XO Health mobile and desktop application
(“the App” or “the Application”) provided by XO Health, Inc. (“we”, “us,” or “our”).
By accessing or using the App, you agree to be bound by these terms.
If you do not agree with any part of these Terms, you may not access or use the App.
1. Use of the App
1.1 – Eligibility: This App is intended for use by employers acting as Plan Sponsors providing insurance coverage to their employees. By using the App, you represent and warrant that you are authorized to act on behalf of the Plan Sponsor and have the legal authority to enter into these Terms on behalf of the Plan Sponsor.
1.2 – Insurance Information: The content provided by the App is for informational purposes only and is not intended to be a substitute for professional insurance advice. While we strive to provide accurate and up-to-date information, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information contained in the App.
1.3 – Use of Information and Resources: We make this Application available for the purpose of providing information to consumers about our products and services, providing access to health-related resources, and providing our members access to their health plan information. Nothing on this Application is intended to be a substitute for professional medical advice or for the care that patients receive from their physicians. Nothing in this Application is intended to be used for medical diagnosis or treatment. You should not disregard medical advice, or delay seeking medical advice, because of something you read on this Application.
1.4 – Disclaimers: You will not use this Application in violation of any laws, including the fraud and abuse or anti-kickback provisions of the federal Medicare and Medicaid laws.
1.4.1 – You will not, and will not permit anyone else to:
- modify, adapt, alter, translate or create derivative works of this Application;
- use or merge this Application, or any component or element of this Application, with other software, databases or services not provided by us;
- sublicense, distribute, sell or otherwise transfer the Application to any other party;
- use the Application as a service bureau, or lease, rent or loan this Application to any third party;
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or structure of this Application;
- interfere in any manner with the operation of this Application;
- circumvent, or attempt to circumvent, any electronic protection measures in place to regulate or control access to this Application;
- create a database by systematically downloading and storing this Application;
- use any robot, spider, site search/retrieval application or other manual or automatic device to retrieve, index, “scrape,” “data mine” or in any way gather information from this Application or reproduce or circumvent the navigational structure or presentation of this Application.
2. Privacy
2.1 – Personal Information: We respect the privacy of the Plan Sponsor and its employees. Please review our Privacy Policy to understand how we collect, use, and disclose your information when you use the App.
3. User Accounts
3.1 – Account Registration: In order to access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 – Account Security: You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You are prohibited from sharing of account credentials. You agree to notify us immediately of any unauthorized access to or use of your account by notifying support@xohealth.com
4. Intellectual Property
4.1 – Ownership: All content, trademarks, service marks, and logos appearing in the App are the property of XO Health, Inc. or its licensors. You may not use, reproduce, or distribute any content from the App without our prior written consent.
5. Limitation of Liability
5.1 – Disclaimer: To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
5.2 – Liabilities and Warranties: We and our licensors and suppliers are not responsible for any claims you may have against any medical professionals, suppliers of products or other persons, institutions or entities identified in whole or in part through this application.
5.2.1 – No Liability: We and our licensors and suppliers (including all providers of content for this Application) shall not be liable to you, under any circumstances or under any theory of liability or indemnity, for any damages or penalties whatsoever (including, without limitation, incidental indirect, exemplary, punitive and consequential damages, lost profits, or damages resulting from lost data or business interruption) in connection with the use or inability to use this application or the content, even if we have been advised of the possibility of such damages. We shall be liable to you only to the extent of actual damages incurred by you. The remedies stated for you in these terms and conditions are exclusive and are limited to those expressly provided for in these terms and conditions.
5.2.2 – No warranties: The application and its services, content and information are provided “As is.” we and our licensors and suppliers disclaim all warranties of any kind, whether express or implied, statutory or otherwise, including but not limited to the implied warranties of merchantability, non-infringement of third parties rights or fitness for a particular purpose.
5.3 – We are not licensed to sell products and services in all states: The descriptions of products and services contained on this Application may not contain all of the terms, conditions, limitations and exclusions that may be applicable. Before purchasing any health plan you should read the contract or explanation of benefits that contains all exclusions and limitations on coverage.
5.4 – Termination: We may terminate any user’s right to access the Application at any time. We reserve the right to block, delete or stop the uploading of materials and communications that we find unacceptable for any reason. If your right to use this site ends, you shall make no further use of this site or any information obtained from this site.
5.5 – Accessibility: XO Health Inc. is committed to ensuring digital accessibility for people with disabilities. We are continually improving the user experience for everyone, and applying the relevant accessibility standards.
5.5.1 – Conformance Status: The Web Content Accessibility Guidelines (WCAG) defines requirements for designers and developers to improve accessibility for people with disabilities.
It defines three levels of conformance: Level A, Level AA, and Level AAA. XO Health Inc. is partially conformant with WCAG 2.1 level AA. Partially conformant means that some parts of the content do not fully conform to the accessibility standard.

5.6 – Miscellaneous: We make no claims that the content and information included at this Application is appropriate or may be downloaded outside of the United States. Access to the content and information included at this Application may not be legal by certain persons or in certain countries. If you access this Application from outside the United States, you do so at your own risk and are solely responsible for compliance with the laws of your jurisdiction and any other applicable laws.
6. Governing Law
6.1 – Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of United States, without regard to its conflict of law provisions.
7. Changes to Terms
7.1 – Modifications: We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the App. Your continued use of the App after the posting of the revised Terms constitutes your acceptance of such changes.
